What a registered agent is for

Every state requires a corporation or LLC to name a registered agent: a person or company with a real street address in the state, present during business hours, whose job is to receive legal papers and official notices on the company's behalf. When someone sues your company, the summons goes to the agent. When the state needs to reach your company, the notice goes to the agent. The agent exists so that there is always a reliable place to deliver the papers that start a clock.

Why the clock matters

A lawsuit you do not answer in time becomes a default judgment. A state notice you do not act on becomes a dissolved company, a revoked authority to do business, a name someone else can take, and a reinstatement bill. None of that requires anyone to prove you were at fault. It only requires that the papers were delivered to the address on file and nothing happened next.

What comparable service means

A registered agent service is comparable to another only if its published terms commit it to the statutory job: a staffed office open during business hours at a real street address; acceptance of service of process and official mail; forwarding of what arrives the day it arrives, in a way you will actually see; an appointment that stays in force from year to year unless you end it; and a provider that stands behind that commitment if it fails. Terms that disclaim performance, reserve the right to resign or terminate at any time, sell a single non-renewing year, or cap liability below the fee are describing a listing, not a service.

How to read a cheap agent's terms

Look for four things. Does it promise to be there during business hours? Does it promise to forward process, and how fast? Does the appointment renew, or does it quietly lapse? What is the most they will ever owe you if they fail? If the answers are no, no, lapse, and three months of fees, you have found the price floor, and you now know what it is made of.

What to do instead

Pick an agent whose terms answer those four questions the right way, at a price you can live with. Calendar your state's annual report date yourself as well; an agent's reminder is a courtesy, not a substitute. And check the state's records once a year to confirm your agent is still the agent of record. It takes five minutes and it is the cheapest insurance in this document.

The part nobody advertises

A registered agent is the address where a lawsuit finds you. Some plaintiffs deliberately seek out companies whose agent will not be there and time service for when the office is closed, because a summons delivered to an empty office is still a valid summons. A default judgment follows. A staffed office that accepts and forwards process the day it arrives is not a luxury feature; it is the whole product.
